Does anybody know how much I should be looking at If i wanted to replace my headliner with the black one from s-line as a starting point? and is this work that has to be done by an Audi dealer or any car upholstery shop?

Any upholstery shop should be able to handle the job.

If you send me your VIN number in a PM I can get you a quote on the headliner.

Do you have any experience with local upholstery shops? I am from the area...

You'd probably end up spending less to have an upholstery shop re-cover your stock pieces than buying all the OEM black parts (headliner plus pillars, etc).

Don't forget, you also need black seatbelt covers, black top housing (where the dome light is), black rear light housing, and black sunvisors...

For such an involved job, you might as well just reupholster your factory pillars and headliner with Alcantara suede, and have all the plastics replaced with black OEM S4 plastics from the dealer. If you're spending so much money on labor and parts, you might as well spend a few hundred bucks extra and get suede appose to the black factory material. Not only will you need the Headliner swapped but the pillars, sun visor, all the plastic panels and pieces, etc. For a job like that your looking at about $2,000 with removed and installed panels, pillars, headliners, buttons... etc. This would include swapping out the center headliner buttons and panels which have the dome light, map lights, sun glasses compartment in black.

If your stuck on the original audi black material though let me know... ill see how much the material would be.

I've seen the black/grey headliners on eBay.de in the past. Don't recall price - not expensive as I recall.
Suggest Google translate for "headliner' English to German then search eBay.de.
Would imagine you could paint your plastic pillar pieces, etc. yourself if you can live with being 'disabled' while your interior is ripped apart.
That said, wouldn't do it myself.
    Cheers
